Welcome to Gault. These Terms of Service ("Terms") govern your access to and use of the Gault mobile application and related services (the "Service") operated by TB Group LLC ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Gault is a property management tool for independent landlords. The Service allows you to manage rental properties, leases, tenants, maintenance requests, and rent payments. Gault is a software tool only — it does not provide legal, financial, tax, or real estate advice. Lease templates and documents generated by the Service are provided as starting points only. You are solely responsible for ensuring all documents comply with applicable federal, state, and local laws.

2. Eligibility and Accounts

You must be at least 18 years old to use the Service. By creating an account, you represent that all information you provide is accurate and complete. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. Payment Processing

Rent payments and landlord payouts are processed by Stripe, Inc., an independent third-party processor. TB Group LLC is not a bank, money transmitter, or payment processor. We are not responsible for payment failures, delays, errors, or losses caused by Stripe, your financial institution, or any other third party. By using the payment features, you agree to Stripe's terms of service and privacy policy. A flat $2.00 convenience fee is charged per tenant payment transaction, which is non-refundable once a payment is initiated.

4. Subscription and Billing

Your first property is free. Each additional property costs $4.00 per month, billed monthly. Subscriptions are managed through Stripe. You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods. TB Group LLC reserves the right to change pricing with 30 days' notice.

5. Data and Privacy

You retain ownership of all data you input into the Service, including property information, lease terms, tenant data, and financial records.

Upon account deletion, all personally identifiable information is permanently anonymized and financial credentials are hard-deleted. Anonymized financial records may be retained indefinitely for accounting integrity and analytics purposes.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Engage in discriminatory practices prohibited by fair housing laws
• Harass, threaten, or harm any person
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service for any commercial purpose other than managing your own rental properties

7. Lease Documents and Legal Compliance

Lease templates provided by Gault are general-purpose starting points and are not legal advice. TB Group LLC makes no representations that lease documents generated by the Service comply with the laws of your specific state, county, or municipality. You are solely responsible for ensuring all lease agreements, disclosures, and notices comply with applicable law. We strongly recommend consulting a licensed attorney before using any lease document for an actual tenancy.

8. E-Signatures

Electronic signatures collected through SignWell are legally binding under the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). TB Group LLC is not responsible for the legal validity of any specific document signed through the Service, which depends on the content and applicable law.

9. Intellectual Property

The Service, including its design, code, and content, is owned by TB Group LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TB GROUP LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TB GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless TB Group LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may delete your account at any time through the app. Upon termination, your right to use the Service immediately ceases.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict of law provisions. Any disputes arising out of these Terms shall be resolved by binding arbitration in Fayetteville, Arkansas, except that either party may seek injunctive relief in court for intellectual property violations.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TB Group LLC regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• No Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
• Modifications: We reserve the right to modify these Terms at any time with 30 days' notice. Continued use constitutes acceptance.
